The terms for using Sitetraq and this site.

Plain-language terms covering accounts, billing, your content, and what each side is responsible for. If anything below is unclear, write to us and we'll explain it.

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Shinpo Capital ("we," "us") covering your use of our website at shinpocapital.com and our software product Sitetraq, available at app.shinpocapital.com (together, the "Services"). By creating an account or using the Services, you agree to these Terms.

If you are using the Services on behalf of a business, you confirm that you have authority to bind that business, and "you" refers to that business.

2. Who can use Sitetraq

You must be at least 18 years old and able to enter a binding contract. Sitetraq is built for businesses operating in the U.S. construction market. We can refuse service or close an account if the Services are being used for purposes outside that scope or in violation of these Terms.

3. Your account

You are responsible for keeping your login credentials secure and for everything that happens under your account. Tell us as soon as possible if you suspect your account has been accessed without permission. We're not liable for losses that result from your failure to safeguard your credentials.

You can invite team members to your workspace. The account owner is responsible for what those team members do inside the workspace.

The data you put into Sitetraq, jobs, quotes, invoices, documents, photos, customer records, financial information, is yours. You keep all rights to it.

You grant Shinpo Capital a limited license to host, store, transmit, and process that content solely to operate the Services for you. This includes routing your content through third-party subprocessors (hosting, AI providers, email delivery) as described in our Privacy Policy. We do not use your content to train AI models, and we do not sell your content.

You're responsible for making sure you have the right to upload and use any content you put into Sitetraq, including content about third parties.

7. Our content and IP

The Services, including the software, design, documentation, and brand, are owned by Shinpo Capital and protected by U.S. and international intellectual property law. These Terms give you a limited, non-exclusive, non-transferable right to use the Services for your business while your subscription is active. They don't transfer ownership of anything.

You're welcome to refer to Sitetraq or Shinpo Capital by name. Don't use our logos, screenshots, or branding to imply an endorsement or partnership we haven't given.

8. AI features

Sitetraq includes AI-assisted workflows (for example, generating quote drafts from job descriptions). AI output is a suggestion, not a substitute for your professional judgment. You're responsible for reviewing AI-generated content before you send it to a customer, sign it, or rely on it for a contractual decision. We do not warrant that AI features will be free of errors.

9. Service availability

We aim for high availability but don't guarantee uninterrupted service. The Services may be temporarily unavailable for maintenance, upgrades, or reasons outside our control (provider outages, network issues, force majeure). We'll do reasonable work to keep you informed about meaningful outages.

10. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Services will meet your specific requirements, be error-free, or be uninterrupted.

11. Limitation of liability

To the maximum extent permitted by law, Shinpo Capital is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of those damages. Our total liability under these Terms in any 12-month period will not exceed the amount you actually paid us in the 12 months before the claim arose, or one hundred U.S. dollars (USD $100), whichever is greater.

Some jurisdictions do not allow exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the smallest extent permitted by law.

12. Indemnification

You agree to defend and indemnify Shinpo Capital against third-party claims arising from your use of the Services in violation of these Terms, your content, or your violation of any law or third-party right.

13. Termination

You can cancel your account at any time from the dashboard or by emailing us. We can suspend or terminate your account for material violations of these Terms, non-payment, or as required by law. On termination, your access ends and your workspace data will be deleted in accordance with the retention timeline described in our Privacy Policy. You can request an export of your data before cancellation.

14. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Disputes will be resolved in the state and federal courts located in Texas, and both sides consent to the jurisdiction of those courts. Nothing in this section prevents either side from seeking emergency injunctive relief in any competent court.

15. Changes to these Terms

We may update these Terms as the product, the team, or the law evolves. Material changes will be announced in-product or by email at least 14 days before they take effect. Continued use of the Services after a change means you accept the new Terms. If you don't agree, you can cancel your account before the change takes effect.
